Welcome to Michele John LLC! By purchasing an annual membership ("Membership"), you agree to the following Terms and Conditions ("Agreement"). Please read them carefully before subscribing.
1. MEMBERSHIP DETAILS
Your Membership provides access to business coaching, online education, and digital products for a period of 365 days from your enrollment date. Your Membership includes:
Live Zoom calls and training sessions
Recorded content and educational materials
Access to private community platform
Digital resources and tools
One-on-one coaching opportunities
All content is delivered through the MemberUP platform. Michele John LLC reserves the right to change platforms, add additional groups, or modify delivery methods without penalty or additional cost to members.
2. PARTICIPANT CONDUCT AND COMMUNITY GUIDELINES
Michele John LLC is committed to providing all participants with a positive, respectful learning environment. All members are expected to:
Treat all members and staff with respect, professionalism, and courtesy
Contribute positively to discussions and community interactions
Refrain from any form of harassment, discrimination, or inappropriate behavior
Support fellow members in their learning and growth journey
Follow all program guidelines and instructions provided by facilitators
Michele John LLC maintains a zero-tolerance policy for:
Hate speech, discriminatory language, or offensive content
Harassment, bullying, or intimidation of any kind
Disruptive behavior that impairs the experience of other participants
Violation of community standards or program guidelines
Michele John LLC may, at its sole discretion, limit, suspend, or terminate your participation in any programs without refund if you:
Become disruptive or difficult to work with
Fail to follow program guidelines or community standards
Engage in behavior that violates these terms
Impair the participation experience of instructors or other members
Severe violations of community guidelines will result in immediate expulsion from the program without refund.
3. PRIVACY, CONFIDENTIALITY, AND RECORDINGS
Recording and Privacy Notice: All live sessions, trainings, calls, and interactions may be recorded and stored on the platform for member access. By participating in the Membership, you acknowledge and consent to being recorded. There is no expectation of privacy during recorded sessions.
Confidentiality Obligations: You agree to:
Respect the privacy and confidentiality of fellow program participants
Not disclose personal business information, strategies, or confidential details shared by other members during sessions
Keep all discussions, experiences, and statements (oral or written) of other participants in the strictest confidence
Use any shared information only within the context of program discussions
Group Interactions: While group interactions may involve sharing personal business information, Michele John LLC cannot guarantee 100% protection of materials, information, or conversations due to the digital nature of the platform. Members participate with the understanding that confidentiality depends on mutual respect among community members.
4. INTELLECTUAL PROPERTY AND PROPRIETARY CONTENT
All materials, content, resources, training materials, and information provided by Michele John LLC are confidential and proprietary intellectual property. You agree that:
All content is for individual use only in connection with this Membership
Content may not be sold, shared, redistributed, taught, recorded, copied, or otherwise disclosed without express written consent from Michele John LLC
You will not infringe upon Michele John LLC's copyright, trademark, patent, trade secret, or other intellectual property rights
Unauthorized reproduction, distribution, or sale of materials is strictly prohibited
Violation of these intellectual property terms may result in injunctive relief and legal action
5. PAYMENT TERMS AND PRICING
Membership Fee: The full retail price for annual membership is $1,995.00 USD. Michele John LLC reserves the right to offer promotional pricing or discounts at its sole discretion.
Payment Processing: Payments are processed through Stripe. All payment methods accepted by Stripe are available for membership purchases.
Payment Due: Full payment is due at the time of enrollment. Payment plans are not currently offered.
Non-Refundable: Due to the digital nature of the program and immediate access to proprietary content, all payments are non-refundable under any circumstances.
6. CANCELLATION AND AUTO-RENEWAL
No Cancellation Policy: Memberships cannot be canceled once purchased. No pauses, suspensions, or cancellations will be made regardless of circumstances including but not limited to: relocation, business changes, personal circumstances, or change of interest.
Automatic Renewal: Your Membership will automatically renew for another 365-day term unless you provide written notice of non-renewal at least 15 days prior to your annual anniversary date.
Renewal Notification: Michele John LLC will notify members of renewal rates approximately 30 days before the end of their current term via email and platform messaging.
Renewal Cancellation Process: To prevent auto-renewal, members must contact Michele John LLC through the membership platform at least 15 days prior to their annual anniversary date.
7. NO GUARANTEES OR PROMISES
Michele John LLC makes no guarantees, warranties, or promises regarding specific outcomes, results, or success from participation in the Membership. Your results depend entirely on:
Individual effort and commitment
Implementation of strategies and teachings
Business skills and experience
Market conditions and external factors beyond our control
Consistency of participation and engagement
8. DISCLAIMERS AND LIMITATIONS
Educational Purpose: All content, coaching, and guidance provided are for educational and informational purposes only.
Not Professional Advice: Michele John LLC does not provide financial, legal, tax, or other professional advice requiring licensure. While business discussions may touch upon financial topics, no specific financial advice or recommendations are being provided.
Business and AI Focus: Guidance is focused on business development and artificial intelligence applications. Any financial discussions are educational in nature and not personalized financial advice.
Seek Professional Consultation: Members should consult qualified professionals (attorneys, accountants, financial advisors) before making significant business or financial decisions.
9. LIMITATION OF LIABILITY
Michele John LLC and its representatives shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from:
Participation in the Membership program
Use of materials or content provided
Interactions with other members
Technical issues with platforms or delivery methods
Any decisions made based on program content
Total liability, if any, shall not exceed the amount paid for the Membership.
10. DISPUTE RESOLUTION
Good Faith Resolution: Michele John LLC will work in good faith to address member concerns and resolve issues. However, all final decisions regarding issue resolution rest in the sole discretion of Michele John LLC and its representatives.
Mediation Requirement: Any legal disputes arising from this Agreement must first be submitted to binding mediation before any legal action may be filed. Mediation shall be conducted in Florida under Florida law.
Member Contact: Members should contact Michele John LLC through the membership platform for any issues or concerns.
11. FORCE MAJEURE
Michele John LLC shall not be held responsible for delays or failure in performance resulting from acts beyond its reasonable control, including but not limited to: natural disasters, government restrictions, pandemics, cyber-attacks, labor disputes, platform outages, or technical failures.
12. MODIFICATIONS TO AGREEMENT
Michele John LLC reserves the right to modify these Terms and Conditions at any time. Updated terms will be posted on the platform and members will be notified via email. Continued participation after notification constitutes acceptance of modified terms.
13. GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida. Any legal proceedings shall be conducted in the appropriate courts of Florida.
14. SEVERABILITY
If any provision of this Agreement is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.
15. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between you and Michele John LLC regarding the Membership/ Program and supersedes all prior communications, agreements, or understandings.
By purchasing a Membership/Program with Michele John LLC, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
